These Terms of Use ("Terms") are provided in accordance with the information-society-service disclosure requirements of the EU e-Commerce Directive (2000/31/EC), as implemented in Italy by Legislative Decree 70/2003.
2. Acceptance of these Terms
By accessing or using flowknot.eu, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Website.
These Terms govern your use of the Website only. They do not, by themselves, create or constitute a consulting engagement or any contract for the provision of advisory services. Actual FlowKnot consulting engagements are entered into separately, in writing, under a signed engagement letter or services agreement that will set out its own scope, fees, timelines, and terms, and which will prevail over these Terms in the event of any conflict regarding that engagement.
3. Who this Website is for
flowknot.eu and the services described on it are directed exclusively at businesses and business professionals (business-to-business, "B2B") — in particular owners, executives, and representatives of privately owned and PE-backed companies evaluating management and financial consulting services. The Website is not directed at, and should not be relied upon by, consumers acting outside a trade, business, or profession. If you are a consumer, please do not submit inquiries through this Website expecting consumer-protection terms (such as a statutory right of withdrawal) to apply — these do not apply to our services, as they are structured and offered on a B2B basis.
4. Use of the Website
You may access and browse the Website for lawful, legitimate business-research purposes, including to learn about FlowKnot's services and to contact us regarding a potential engagement.
You agree not to:
- Use the Website in any way that violates applicable law or regulation;
- Attempt to gain unauthorised access to the Website, our servers, or any connected systems (including by circumventing security measures, probing for vulnerabilities, or introducing malware);
- Use any automated means (bots, scrapers, crawlers) to extract content from the Website other than standard search-engine indexing, without our prior written consent;
- Submit false, misleading, or fraudulent information through the Contact form, or use it to send unsolicited commercial communications (spam) to us;
- Interfere with or disrupt the Website's operation or its hosting infrastructure;
- Reproduce, copy, or exploit any portion of the Website for commercial purposes without our prior written consent, except as permitted under Section 5.
We may suspend or restrict access to the Website, in whole or in part, at any time, for maintenance, security, or any other reason, without liability to you.
5. Intellectual property
Unless otherwise indicated, all content on the Website — including text, the FlowKnot name and logo, graphics, diagrams, illustrative frameworks (e.g., our Flow / Constraint / Throughput / Financial Gain terminology), page layouts, and underlying code — is owned by or licensed to FlowKnot and is protected by Italian and EU copyright, trademark, and other intellectual property laws.
You may view, download, and print pages from the Website for your own internal business-evaluation purposes only, provided you keep all copyright and other proprietary notices intact. No other use — including republication, distribution, modification, or creation of derivative works — is permitted without our prior written consent.
Any trademarks, logos, or trade names of third parties that may appear on the Website belong to their respective owners and are used only to identify those parties (e.g., in illustrative or reference material), with no implied endorsement or affiliation unless expressly stated.
6. No professional advice; accuracy of content
The content published on flowknot.eu — including articles, frameworks, case illustrations, and general commentary on EBITDA, cash, throughput, and related topics — is provided for general informational purposes only. It does not constitute, and should not be relied upon as, financial, accounting, tax, legal, investment, or other professional advice tailored to your specific circumstances.
Any illustrative examples, case studies, or figures presented on the Website that are not attributed to a named, confirmed client are clearly marked as representative/illustrative and do not describe an actual client engagement or guarantee any particular result. Past or illustrative outcomes referenced on the Website are not a guarantee of future results for any particular business, which will always depend on that business's specific facts and circumstances.
We take reasonable care to keep the Website's content accurate and up to date, but we make no warranty, express or implied, that the content is complete, accurate, reliable, current, or error-free. We may update, amend, or remove content at any time without notice.
Before making any business decision in reliance on general information found on this Website, you should seek advice specific to your situation from FlowKnot (via a formal engagement) or another qualified professional advisor.
7. Third-party links
The Website may contain links to third-party websites (e.g., LinkedIn, articles, or sources we cite). These links are provided for convenience only. We do not control and are not responsible for the content, accuracy, or privacy practices of any third-party website, and inclusion of a link does not imply endorsement. You access third-party websites entirely at your own risk and subject to their own terms and privacy policies.
8. Limitation of liability
To the maximum extent permitted by applicable law:
- The Website and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Website will be uninterrupted, secure, or error-free.
- FlowKnot (Igor Kozhevin) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of, or inability to use, the Website or its content, even if advised of the possibility of such damages.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Italian or EU law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
This Section 8 concerns use of the Website only. Liability arising from an actual signed consulting engagement is governed exclusively by the liability terms of that engagement's own written agreement.
9. Indemnification
You agree to indemnify and hold harmless Igor Kozhevin (trading as FlowKnot) from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms or your misuse of the Website, to the extent permitted by applicable law.
10. Privacy and cookies
Our collection and use of personal data through the Website (for example, via the Contact form) is described in our Privacy Policy, which forms part of these Terms. Please review it to understand our practices.
11. Changes to these Terms
We may revise these Terms from time to time to reflect changes to the Website, our services, or legal requirements. The "Last updated" date above indicates when they were last revised. Continued use of the Website after any changes take effect constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
12. Severability
If any provision of these Terms is found by a competent court or authority to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
13. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlowKnot regarding use of the Website, and supersede any prior agreements or understandings regarding the Website. They do not affect, and are superseded by, the terms of any separate, signed engagement agreement for consulting services.
14. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict-of-law principles.
For business (B2B) users, any dispute arising out of or in connection with these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the Courts of Bergamo, Italy, save where a mandatory rule of applicable law provides otherwise.
As FlowKnot's services are offered on a business-to-business basis, the EU's Online Dispute Resolution (ODR) platform for consumer disputes does not apply to disputes arising from use of this Website or from a FlowKnot engagement.
